Brian MurphyAreas of Practice Concentration:
Corporate transactions (mergers, acquisitions, reorganizations, stock sales and redemptions and closely-held business planning); executive compensation; nonprofit and exempt organizations; tax planning and litigation.

Description of Practice:
Mr. Murphy is a corporate and tax attorney concentrating in counseling closely-held businesses and their owners and non-profit organizations. He is active in counseling clients on formation and structuring issues (including decisions with respect to the selection of the proper entity for effecting business and investment transactions), executive compensation, tax planning, and representing clients before the Internal Revenue Service and the United States Tax Court. Mr. Murphy served a key role in Vermont's adoption of the first L3C statute in the country, testifying before the Vermont legislature on behalf of the Vermont Bar Association concerning the legal features of the new "low profit limited liability company" model. As an experienced Delaware attorney, Mr. Murphy is also active in forming, merging, dissolving, and otherwise operating Delaware corporations, limited partnerships, limited liability companies, and business trusts.

Prior Experience:
Prior to joining the firm in 1999, Mr. Murphy was a partner in the Wilmington, Delaware law firm of Young Conaway Stargatt & Taylor, LLP, a nationally recognized firm in corporate takeover disputes and large Chapter 11 bankruptcies. Prior to practicing law in Delaware, Mr. Murphy practiced for six years as a certified public accountant with the Boston Office of Ernst & Young, LLP.
