Business Transactions, Securities, Financial Services
As a business lawyer, my goal is to help clients minimize risk. Doing so involves talking to clients about their goals. I start by asking clients: Why do you want to do this transaction? What objective are you trying to achieve? Everything else—the way the transaction is structured, how a contract is drafted, how hard to push the other side on a particular issue—flows from a client’s answers to these questions. I add special value to this process from my experience as a journalist. I ask the right questions and I’m good at translating spoken words into clear writing.
Businesses
I provide legal support to start-ups and established companies in all aspects of their business operations, including: private capital raises and bank financing, acquisitions of other businesses, company formation, contracting with other businesses and service providers, and negotiating employee agreements and incentive compensation (including restricted stock awards and stock options).
Lenders
I assist commercial and agricultural lenders with regulatory compliance, loan transactions, and debt forbearance and restructurings.
Educational Institutions
I represent non-profits and educational institutions in the negotiation of executive level employee agreements, drafting of organizational documents, and debt financings.
