My Approach:

My goal is to provide clients with practical solutions to mitigate legal and financial risk. I collaborate with clients to resolve their legal issues so that they can get on with operating their business or organization. The underlying philosophy of my practice is that transactional attorneys should add value for their clients by helping to manage future and present risk in a cost effective manner. I pride myself on being responsive and providing the right solution for each client regardless of their size, experience or the scope of their legal needs.

Practice Areas:

Business Transactions: I advise Vermont companies on legal issues impacting their business, including structuring and closing strategic acquisitions and dispositions, capital raising and financing transactions, the formation of corporations, limited liability companies and partnerships, supply and distribution agreements, and tax planning.  I also counsel clients on employment and consulting agreements, confidentiality agreements and the structuring of incentive compensation arrangements. My clients range from entrepreneurial startups to mature companies with operations within and outside of Vermont. 

Nonprofit Organizations: My practice includes advising tax exempt organizations in entity organization and formation, recognition of their tax-exempt status and corporate governance matters including drafting bylaws and operating policies. I also have experience with tax-exempt financing and nonprofit merger and acquisition transactions, and I am well versed in Vermont’s exemptions from real property tax for nonprofits. 

Real Estate Transactions: I represent individuals, businesses and nonprofits in the purchase, sale, permitting, development and leasing of commercial and residential properties.  I also represent clients in real property disputes including property tax appeals, condemnation proceedings, boundary disputes, zoning applications and appeals and issues with so-called “ancient roads.”  I have been involved in some of the largest renewable energy projects in the state and can provide state and federal tax advice related to such projects.  I also have experience structuring condominium projects and providing ongoing counsel to condominium or homeowners’ association boards. 

Prior to joining Dinse, I served as a law clerk for the Vermont trial courts in Chittenden and Addison Counties (2005-2006). 

Representative Transactions:

Represented developer in structuring and financing one of Vermont’s largest renewable energy projects. 

Represented individual in the stock purchase, and relocation to Vermont, of a specialty sporting goods and apparel company. 

Represented one of the largest ski resort operators in North America in its purchaser of the assets of a major Vermont ski resort and associated real estate. 

Representation of global manufacturer and distributor of resource assessment devices in commercial contracting, supply and distribution agreements, joint ventures and strategic acquisitions.

Represented a tax equity investor in its investment in a Vermont-based solar fund. 


Represented the owners of an independent microbiological laboratory in the sale of the lab’s assets to a Boston-based, private equity firm.
