- Commercial Loan Origination
We represent lenders in all types of commercial lending transactions, including real estate loans, equipment leasing, construction financing, lines of credit, and asset based financing transactions. Our extensive experience in the Vermont lending market allows us to document and close loans for our clients efficiently and effectively.
Recovery Without Bankruptcy
We assist lenders in all phases of the loan resolution process through collection, foreclosure, workout and bankruptcy proceedings. We have been active in strengthening creditors' rights and assisted the Vermont Bankers' Association in drafting the Non-Judicial Foreclosure Act, which can simplify commercial mortgage foreclosures.
Regulatory Compliance
Our banking group has special expertise in regulatory compliance issues, particularly those involving consumer financing. We counsel banks and non-bank lenders on the ever-changing federal and state laws governing lending practices. We have extensive experience involving Vermont's Licensed Lender Statute, which strictly regulates non-bank lenders. We frequently review national lending programs and provide opinions on compliance with Vermont and federal law.
Documentation Development
The firm is Vermont counsel to the nation's largest loan documentation software vendor, Harland Financial Solutions (HFS). We have extensive experience with its documentation software, LaserPro. We have given frequent seminars to lenders on the use of LaserPro documentation, and its relationship to Vermont lending practice and legal issues. We have been the principal drafters of commercial loan documentation for some of Vermont's largest banks and have also assisted banks in developing form documents for cash management services. Our documents emphasize plain English and state of the art protections for our clients.
Lender Liability and Litigation
We regularly provide advice to our lending clients in the defense of lender liability claims. When our financial services clients are faced with a lawsuit, our banking and litigation groups use their combined expertise to aggressively defend the client's position. When settlement is the appropriate strategy, we also provide creative advice and guidance to our clients through the settlement process.
As the Vermont representative of HFS' Network of Federal and State Counsel, we can provide our clients with immediate access to expert counsel on lending issues in all jurisdictions.
